End User License Agreement

Last updated:

This agreement is between you and ABSTRA SERVIÇOS DE TECNOLOGIA SOCIEDADE LIMITADA, CNPJ 37.405.458/0001-30, with its registered office at Rua Visconde de Inhaúma, 134, 20º andar, sala 2001 (parte), Centro, Rio de Janeiro/RJ, CEP 20091-901, Brazil (“Abstra”), and covers the ClickSpeak apps for macOS, Windows and Linux and the ClickSpeak server software for self-hosting (the “Software”). By installing or using the Software you agree to it. If you accept it on behalf of an organization, you confirm that you are authorized to do so, and “you” means that organization.

1. License

Abstra grants you a free, non-exclusive, non-transferable and revocable license to install and use the Software for the internal use of your organization, or for your own personal use, for commercial purposes or not. This is a license to use the Software in its compiled form; it is not a sale and grants no rights to its source code.

2. Restrictions

You may not:

3. Hosted service

When the apps connect to servers hosted by Abstra at clickspeak.io, that use is also governed by the Terms of Service and the Privacy Policy.

4. Your data on a self-hosted server

When you run the server software on your own infrastructure, you are the controller of the personal data it handles, under the LGPD, the GDPR and any other applicable law. Abstra does not receive the audio, screen or member data that passes through your server.

5. Updates

Abstra may release updates to the Software but is not obliged to. Updates are covered by this agreement unless they come with their own.

6. Ownership

The Software and all intellectual property rights in it belong to Abstra. Any right not expressly granted here is reserved.

7. Termination

This license ends automatically if you breach this agreement. When it ends, you must stop using the Software and delete your copies.

8. No warranty

The Software is provided “as is”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement, to the maximum extent permitted by law.

9. Limitation of liability

To the maximum extent permitted by law, Abstra is not liable for any direct or indirect damages, lost profits, data loss or business interruption arising from the use of, or inability to use, the Software. Nothing in this agreement limits liability that cannot be limited under applicable law.

10. Governing law and venue

This agreement is governed by the laws of Brazil. The courts of the Comarca da Capital of the State of Rio de Janeiro/RJ, Brazil, are chosen to settle disputes. If you are a consumer in Brazil, you keep the right to go to court where you live, as the Brazilian Consumer Protection Code guarantees.
