Terms of Service
Last updated:
These terms govern the use of the ClickSpeak hosted service at clickspeak.io and its servers at *.clickspeak.io (the “Service”), provided by ABSTRA SERVIÇOS DE TECNOLOGIA SOCIEDADE LIMITADA, CNPJ 37.405.458/0001-30, with its registered office at Rua Visconde de Inhaúma, 134, 20º andar, sala 2001 (parte), Centro, Rio de Janeiro/RJ, CEP 20091-901, Brazil (“Abstra”, “we”, “us”). By signing in or creating a server you agree to them. If you accept them on behalf of an organization, you confirm that you are authorized to do so. The ClickSpeak apps and the self-hosted server software are licensed under the End User License Agreement.
1. The Service
ClickSpeak is voice chat for teams: servers with channels where people talk and share their screen. The Service is in beta. It is provided “as is” and “as available”, it may change or be interrupted, and it comes with no service level commitment.
2. Eligibility and accounts
You must be 18 or older to use the Service. You sign in with a Google or Microsoft account, and you are responsible for the activity under it. A server's administrators decide who may join it and are responsible for how their server and its members use the Service.
3. Free plan
The free plan allows up to 5 people in a channel at the same time and one free server per creator's e-mail address; a paid server whose subscription stopped being paid counts as that free server. We may change these limits with notice.
4. Paid plan
To have more than 5 people in a channel at the same time, a server needs the paid plan: a monthly subscription by capacity, in which an administrator chooses how many people may be in a channel at the same time, from 6 up. The price is US$ 2 per person per month, or R$ 10 when billed in Brazil, and it applies to every person in the capacity, not only to those above 5. Billing is handled by Stripe, by card, every month until the subscription is canceled.
- Increase. Raising the capacity charges right away the prorated amount for the rest of the current period. The new capacity applies as soon as that payment is confirmed.
- Decrease. Lowering the capacity while staying at 6 people or more applies right away. The prorated amount for the unused time becomes a credit on the next invoice; it is not refunded in cash.
- Cancellation. An administrator may cancel the subscription at any time. A cancellation, or a decrease to 5 people or fewer, takes effect at the end of the period already paid: until then the paid capacity stays, and afterwards the server returns to the free plan, with no refund for the partial period.
- Failed payment. If a payment fails, the server's capacity goes back to 5 people right away; people already in a channel are not disconnected. Once the invoice is paid, the subscribed capacity comes back.
- Deleting the server. Deleting a server cancels its subscription right away, with no refund for the current period.
- Right of withdrawal. The no-refund rules above have a legal exception: if you are an individual consumer in Brazil and contracted at a distance, you may withdraw within 7 (seven) days of contracting and get back the full amount of that first payment (Brazilian Consumer Protection Code, art. 49). To do so, write to support@clickspeak.io.
Prices in reais include the taxes due in Brazil. For customers outside Brazil billed in dollars, local taxes may apply, as the payment provider calculates or requires.
If we change the price, we will e-mail the server's administrators 30 days in advance before the new price applies to an existing subscription.
5. Inactive servers without an active subscription
We may delete a server without an active subscription that has not been used for 90 days, meaning nobody has joined any of its channels. This includes a paid server whose subscription stopped being paid (canceled, or a failed payment not settled); in that case the count starts when payment stopped. If it still has an open, unpaid subscription, deleting the server cancels it. Before that, we e-mail its administrators on days 30 and 60 of inactivity; using the server again restarts the count. Deletion is permanent and removes the server's channels and configuration.
6. Acceptable use
You agree to use the Service only for lawful purposes. You may not:
- use it for illegal, deceptive, fraudulent, harassing or abusive purposes, or to infringe the rights of others;
- record or broadcast other people without the consent the law requires;
- send malware, attack or overload the Service, or try to access servers, data or systems without authorization;
- get around the plan limits, for example by creating accounts to obtain more free servers;
- resell the Service or offer it to third parties as your own service;
- reverse engineer, copy or create derivative products of the Service.
7. Your content and our property
Your server's names, channels and settings are yours. You grant Abstra a limited, non-exclusive, royalty-free license to store and process them as needed to run the Service. Audio and screen are relayed live and are never recorded. ClickSpeak, its software, interface, documentation and brand belong to Abstra.
8. Privacy
How we handle personal data, and your rights under the LGPD and the GDPR, are described in the Privacy Policy. Abstra is the controller of account, sign-in, billing and site data. For the data inside a server (member list, channel names, access rules and presence), Abstra acts as a processor, on behalf of whoever administers the server.
9. Suspension and termination
We may suspend or terminate access to the Service, or a server, in case of abuse, violation of these terms, or risk to the Service or to others, with notice whenever reasonable. You may stop using the Service and delete your server at any time.
10. Disclaimer
To the maximum extent permitted by law, the Service is provided without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that it will be uninterrupted or error-free.
11. Limitation of liability
To the maximum extent permitted by law, Abstra is not liable for indirect damages, lost profits, data loss or business interruption resulting from the use of the Service, and Abstra's total liability is limited to the amount you paid for the Service in the 12 months before the event that gave rise to the claim. Nothing in these terms limits liability that cannot be limited under applicable law, including consumer protection law.
12. Changes to these terms
We may update these terms. The latest version is always on this page, with its date at the top, and we will e-mail server administrators before any material change takes effect. Continued use of the Service after a change means you accept the new terms.
13. Governing law and venue
These terms are governed by the laws of Brazil. The courts of the Comarca da Capital of the State of Rio de Janeiro/RJ, Brazil, are chosen to settle disputes. If you are a consumer in Brazil, you keep the right to go to court where you live, as the Brazilian Consumer Protection Code guarantees.
